RESEARCH ON TAKEOVERS AND MERGERS

Takeover bids are very important for the internal market, because they contribute to market integration, according to the fundamental freedom of establishment of the Treaty on the Functioning of the European Union (TFEU).

The research topic of Dr. Thomas Papadopoulos, Visiting Professor and Academic Associate of the International Hellenic University, on whom the award was conferred, was “Takeovers and Mergers in European and Cypriot Company Law”.

This research analyzes the 13th Company Law Directive of the European Union on takeover bids and the 10th Company Law Directive of the European Union on cross-border mergers. It aims at analyzing the legal aspects of mergers and acquisitions (M & As) of companies at EU and Member State level.

Dr. Thomas Papadopoulos was awarded the “Cyprus Research Award - Young Researcher 2014” of the Research Promotion Foundation of the Republic of Cyprus in the category of “Social Sciences & Humanities”.

Takeovers and Mergers in European and Cypriot Company Law

THE CONTENT OF THE RESEARCH

The goal of the distinguished research is the analysis of the market for corporate control as a part of the internal market of the European Union. This research analyzes the 13th Company Law Directive of the European Union on takeover bids and the 10th Company Law Directive of the European Union on cross-border mergers.

The analysis takes place in the light of the EU fundamental freedom of establishment (Articles 49-54 TFEU). Special aspects of takeover bids are analyzed extensively, such as mandatory bids and shareholders’ protection, especially protection of minority shareholders, after acquiring control of their companies. This approach results in a better understanding of legal aspects of mergers and acquisitions mechanisms. Moreover, the implementation of the relevant Directives into Cypriot and Greek law becomes better understood.

Another specialized and current issue that is examined is the special shares and prerogatives, which EU Member States preserve in privatized companies, and their compatibility with freedom of establishment and free movement of capital, in the framework of the internal market. Furthermore, the legislative and jurisprudential dimension of cross-border mergers of companies is scrutinized and useful conclusions are drawn. Finally, examination of case law of national courts and of the Court of Justice of the European Union (CJEU) plays a very important role in this research.

Dr. Thomas Papadopoulos, Visiting Professor at the International Hellenic University and Lecturer at the European University of Cyprus, was awarded the Research Award of the Research Promotion Foundation (RPF) of the Republic of Cyprus in the category of “Social Sciences & Humanities” in 2014 for his candidacy with the title: “Takeovers and Mergers in European and Cypriot Company Law”.

The Research Promotion Foundation of the Republic of Cyprus established this annual Research Award since 2006 with the aim of highlighting the work and personality of researchers which are active in Cyprus and demonstrate significant, international achievements.
